These Terms & Conditions (“Terms”) govern your use of the Squarespace Integration & Sync application (the “App”) provided by Digital Product Labs, Inc. (“DPL”, “we”, “us”, “our”). The App connects a Square store to Squarespace so that products, inventory, and orders stay in sync across those channels.
By installing, authorizing, or using the App, you (“you”, “User”, “Merchant”) agree to these Terms. If you do not agree, do not install or authorize the App.
1. Definitions
- App – the Squarespace Integration & Sync application published by DPL, including its cloud services, dashboard, sync engine, and supporting APIs.
- Platforms – Square (operated by Block, Inc.) and Squarespace (operated by Squarespace, Inc.).
- Connected Accounts – the Square account or location, and Squarespace site that you authorize for use with the App.
- Merchant Data – catalog, product, inventory, order, transaction, and customer data accessed through the Connected Accounts.
Square and Squarespace are separate, unaffiliated companies. Each requires its own authorization, and you may connect either or both.
2. Eligibility and account requirements
To use the App, you must:
- be at least 18 years old and able to enter a binding contract;
- own or be authorized to administer each account you connect;
- maintain accounts in good standing with each Platform you connect;
- comply with the Squarespace Terms of Service and Squarespace’s Acceptable Use Policy, the Square Terms of Service and Square’s seller policies and terms.
You are responsible for all activity carried out under your Connected Accounts.
3. Authorization and scope of access
The App uses OAuth 2.0 to obtain access to each Connected Account. You grant authorization on each Platform’s consent screen, and access is limited to the permission scopes you approve.
Squarespace. Scopes may include products and product read access to create and update listings, inventory and inventory read access to read and update stock levels, orders and order read access to retrieve orders and mark them fulfilled, transactions read access where order financial detail is required, and website read access to identify the connected site.
Square. Permissions may include catalog read and write access to create and update items, inventory read and write access to adjust stock counts, orders read and write access to retrieve and update orders, merchant profile read access to identify locations, and payments or customers read access where order detail requires it.
The App requests only the scopes needed for the sync features you enable. Access and refresh tokens are stored encrypted and used solely to operate the App on your behalf. Each Platform sets token lifetimes and refresh behavior, and expiry may require you to reauthorize before syncing resumes.
Revoking access. You may revoke the App’s access at any time from your Squarespace or Square account settings, or by uninstalling the App and contacting us at squarepos@dpl.company. Once you revoke access, syncing stops for that Connected Account, and the App can no longer read from or write to it. Revoking one Platform does not affect the other.
4. License grant
Subject to these Terms, DPL grants you a non-exclusive, non-transferable, revocable right to use the App for your own business purposes, on the Connected Accounts you have authorized, for the duration of your active subscription or trial. All rights not expressly granted are reserved by DPL.
5. Your responsibilities
You are solely responsible for:
- the accuracy, legality, and completeness of the product, pricing, and inventory data you sync;
- configuring your sync rules, profiles, and overwrite settings before running any sync, including which fields each Platform is permitted to update;
- reviewing listings created or updated by the App for compliance with each Platform’s policies and with applicable law;
- any tax, customs, shipping, fulfillment, or consumer obligations arising from your sales;
- maintaining your own records and backups of Merchant Data.
The App executes the sync rules you configure. You accept that changes written to a Connected Account, including price, inventory, or listing field updates, follow those settings.
6. Sync behavior and service limitations
Syncing depends on the Square and Squarespace APIs and on network availability. You acknowledge that:
- Platform API rate limits, maintenance windows, schema changes, or outages may delay or interrupt syncing;
- access tokens expire and may require reauthorization, which can pause syncing until completed;
- Square and Squarespace model catalog, variant, and inventory data differently, so some fields may not map exactly and certain attributes may be unsupported on a given Platform;
- edits made directly in a Connected Account, or by another application, may be overwritten by a subsequent sync depending on your configured settings;
- where the same inventory is sold across multiple channels, timing gaps between updates can result in overselling, and DPL does not guarantee prevention of it;
- DPL does not guarantee uninterrupted, error-free, or instantaneous synchronization.
We will make reasonable efforts to notify you of known service interruptions and to restore service promptly.
7. Fees, trials, cancellation, and refunds
Subscription plans, trial periods, and pricing for the App are shown at the point of purchase and may change with notice. We bill charges for the plan and billing period you select.
You may cancel at any time before the end of the current billing period.
Because the App is delivered as a cloud service with resources allocated to your account, subscription fees are non-refundable. Use the trial period to confirm the App fits your workflow before subscribing.
8. Restrictions
You may not:
- reverse engineer, decompile, or disassemble the App, or defeat any licensing or security mechanism, except to the extent applicable law expressly permits;
- resell, rent, lease, sublicense, or otherwise make the App available to third parties without our prior written approval;
- use the App to transmit malicious code, infringe intellectual property, scrape data you are not entitled to, or breach any Platform’s rules;
- circumvent API rate limits or usage quotas, or use the App to place unreasonable load on our systems or on a Connected Account;
- remove or alter any proprietary notice contained in the App.
9. Intellectual property
The App, its source code, interfaces, documentation, and DPL trademarks remain the exclusive property of Digital Product Labs, Inc. and are protected by United States and international intellectual property law. The App is licensed, not sold. These Terms grant you no rights in DPL’s trademarks or service marks.
You retain all rights in your Merchant Data. You grant DPL a limited right to process that data solely to operate, support, and improve the App, as described in our privacy policy.
10. Privacy and data handling
Our collection, use, retention, and disclosure of information in connection with the App is described in the DPL Privacy Policy. By using the App, you consent to that processing. Where you act as a data controller for personal data in your Connected Accounts, you are responsible for having a lawful basis to share that data with us.
11. Third-party platforms and no affiliation
Square and Squarespace are independent third-party platforms. DPL is not affiliated with, endorsed by, sponsored by, or acting as an agent of Block, Inc., or Squarespace, Inc.
“Square” is a trademark of Block, Inc. “Squarespace” is a trademark of Squarespace, Inc. Both are used here for identification only. Square and Squarespace are unrelated companies, and connecting one does not imply any relationship with the other.
None of these companies is a party to these Terms, and none has any liability or obligation under them. Your use of each Platform remains governed by your agreement with that Platform. DPL is not responsible for changes to third-party APIs, policies, fees, or platform availability.
12. Support
Support is available to active Users at squarepos@dpl.company for setup, sync configuration, and defect reports. Report suspected defects through a support ticket so we can investigate and, where the issue is within the App, correct it. Support does not include custom development unless separately agreed in writing.
13. Suspension and termination
You may terminate these Terms at any time by revoking authorization and uninstalling the App. DPL may suspend or terminate your access, with or without notice, if you breach these Terms, if your use creates a security or compliance risk, if required by a Platform, or if a Connected Account is closed or suspended.
On termination, your license ends, syncing stops, and we will delete or de-identify stored Merchant Data in line with our retention practices, subject to legal and accounting obligations.
14. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. DPL DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DPL DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY SYNC WILL COMPLETE WITHOUT DELAY OR DATA DISCREPANCY. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE APP REMAINS WITH YOU.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DPL AND ITS SUPPLIERS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SALES, BUSINESS INTERRUPTION, OVERSELLING, LOST OR CORRUPTED DATA, OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DPL’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNTS YOU ACTUALLY PAID FOR THE APP IN THE THREE MONTHS PRECEDING THE CLAIM, OR ONE US DOLLAR (US$1.00).
16. Indemnification
You agree to indemnify and hold harmless Digital Product Labs, Inc., its officers, employees, and agents from any claim, demand, loss, or expense, including reasonable legal fees, arising from your use of the App, your Merchant Data, your listings or sales, or your breach of these Terms or of any Platform policy.
17. Changes to these Terms
DPL may update these Terms to reflect product, legal, or platform changes. The “Last updated” date above will change when we do. We will communicate material changes by email or in-app notice where reasonably practicable. Continued use of the App after an update constitutes acceptance of the revised Terms.
18. Governing law and entire agreement
These Terms are governed by the laws of the United States of America, excluding conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. These Terms, together with the DPL Privacy Policy, form the entire agreement between you and DPL regarding the App and supersede prior communications on the subject.
If any provision is found unenforceable, the remaining provisions remain in force.
